Uninstall any third party software that touches the winsock, like bearshare, napster, netscape, new.net, morpheous, go!zilla, real downloader, etc. Go into add/remove and do this.

Try resetting tcp/ip:

netsh int ip reset c:\resetlog.txt

Try safe mode w/ networking (restart, f8...)

Look at event viewer for any clues (control panel > admin tools > event viewer)

Perform an in place repair:
