| sounds like you may have bought a bogus copy of WinXP. Also, doing an upgrade installation isn't recommended, as any problems that existed under Win98 are only magnified by WinXP. Do a clean installation - i.e. on the WinXP setup, choose to delete the partition and have WinXP reformat the drive.
