I assume everything was working fine before the upgrade? If so first try safe mode, restart the prc, press f8, choose safe mode. If it still happens in safe mode, you got a deep issue. Try defragging the pc in safe mode. Try scanning for viruses at housecall.antivirus.com. If you have norton antivirus 2002, uninstall it. Try doing an in place repair, to do so just restart with the winxp cd, press enter for new install, press f8, then press r for repair, this will reinstall winxp. However, it might come down to backing up all your data, and formating.
