As long as your C partition isn't ntfs win98/ME setup should let you install. If another partition is ntfs it will give a warning saying you cannot access ntfs volumes in winme, but it should let you continue (i did this yesterday and it installed fine). If the c partition is ntfs, you cant converrt it back to fat32, you would have to format it. Also be aware, winxp uses a different bootstrap loader, if you install win9x itll overwrite this, breaking the dual boot.
