Here's an idea, how about looking at the log file? It's svcpack.log, paste the last couple of lines here. Make sure cryptography service is started. Uninstall crap like antivirus, firewalls, norton, mcafee. Try a msconfig clean boot.

If you search google, you'll see this is caused by xp antispy, uninstalilng this program should fix the problem.
